Terms of Service

Effective September 26, 2026

Plain language summary

These terms say what we do and what you do. We keep your books and close each month, but we do not file taxes, run payroll or pay your bills. You pay the price on our pricing page. You can leave any time. When you go, you take every file and every record with you, and we never hold them back.

1. Who we are

BookWize is a managed bookkeeping service and software platform operated by Barthelemy Holdings, Inc., a Florida corporation ("BookWize", "we", "us"). These Terms of Service ("Terms") are an agreement between us and the business that signs up for BookWize and every person who uses the service for that business ("you").

Questions about these Terms go to rsouverain@barthelemyholdings.com.

2. Accepting these terms

By booking a Clean Start, paying for a plan, or signing in to a BookWize workspace, you agree to these Terms and to our Privacy Policy. If you use BookWize for a business, you confirm that you are allowed to bind that business.

3. What we do

BookWize keeps cash basis books for your business. The service includes: organizing up to 12 months of past records during a Clean Start; importing transactions from connected accounts and from statements you upload; sorting transactions into categories; matching account balances to statements; sending you questions about items only you can explain; closing each month and preparing a close packet and files your tax professional can use; and quarterly review calls on plans that include them.

Plan details, including what each plan covers and the monthly close guarantee, are described on our Pricing and Guarantee pages and in any written order or proposal we send you. If an order and these Terms conflict, the order controls for that order.

4. What we do not do

  • Payroll or tax filing.
  • Bill payment.
  • History older than 12 months (quoted before work begins).
  • Tax preparation, tax advice, or filing any return or form with any government agency.
  • Audit, review, or attest services. BookWize is not a CPA firm, and our reports are not audited or reviewed financial statements.
  • Legal, investment, or financial planning advice.
  • Moving money. BookWize reads your accounts. It never pays bills, sends transfers, or runs payroll for you.

You remain responsible for your tax filings and for decisions you make using the books. We recommend you work with a licensed tax professional.

5. Fees and payment

Prices are listed on our Pricing page or in your written order. Fees are charged in U.S. dollars. The Clean Start fee is due before work begins. Monthly plans are billed each month in advance until you cancel. Work outside the plan, such as history older than 12 months, is quoted in writing before we start.

Late payment may pause work on your books until the account is current. A paused month does not count against the close guarantee.

We may change prices with at least 30 days written notice. A change applies from your next billing period after the notice.

6. Your responsibilities

  • Give us accurate and complete information, and tell us promptly when something changes.
  • Upload statements and answer questions by the 5th of each month so we can close by the 10th.
  • Connect only accounts you are allowed to share, and keep your sign in email and devices secure.
  • Review what we send you. You are responsible for the final numbers you or your tax professional file.
  • Add only people who should see your business finances to your workspace, and remove them when they leave.
  • Not use BookWize for anything unlawful, and not try to access another business's data.

7. Connected accounts and third party services

When you connect a bank, card, QuickBooks Online, Clover or Stripe account, you authorize us to read transactions and balances from it through that provider. Those providers have their own terms, and their availability is outside our control. If a feed stops working, we will tell you and you may need to reconnect it or upload statements instead.

Some documents you upload, such as PDF bank statements, are read with an AI service (Anthropic) so we can list their transactions. We check what is read against the statement's own totals and show you a preview before anything is added to your books.

8. Your data

Your business records belong to you. You give us permission to store, process and copy them only as needed to provide the service. You can export your records at any time, and if you leave we give you every file and record we hold for your business. How we handle personal information is explained in our Privacy Policy.

9. Ending the service

You may cancel a monthly plan at any time by email. Cancellation takes effect at the end of the current billing month, and we finish any month already closed or in review. Fees already paid are not refunded, except as the guarantee on our Guarantee page provides.

We may suspend or end the service if you do not pay, break these Terms, or use the service in a way that risks harm to others. Where we can, we will give notice first.

10. Our guarantee and warranties

Our monthly close guarantee is described on the Guarantee page, and a fee credit under it is your only remedy for a late close. Apart from that promise, the service is provided as is and as available. We do not promise that the service will be uninterrupted or error free, or that it will meet every need your business has.

11. Limitation of liability

To the extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible. Our total liability for any claim relating to BookWize is limited to the fees you paid us in the 12 months before the event that caused the claim.

Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnity

You agree to cover our reasonable costs from a third party claim caused by information you gave us that you knew was false, or by your breach of these Terms.

13. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. Any dispute will be heard in the state or federal courts located in Orange County, Florida, and both parties consent to those courts.

14. Changes to these terms

We may update these Terms. If a change is material, we will email the account contact at least 30 days before it takes effect. Continuing to use BookWize after the effective date means you accept the updated Terms.
